Sponsor Terms and Conditions
1. About ONYX Academy
ONYX Academy is a commercial business providing programmes, workshops, coaching, training and related services designed to support confidence, life skills, employability, enterprise awareness, personal development and future pathways.
ONYX Academy is not a registered charity. Sponsorship payments are commercial sponsorship payments and are not charitable donations.
2. Purpose of Sponsorship
Sponsorship enables businesses and individuals to support ONYX Academy’s work, programmes, participants, events, resources and wider development.
Depending on the agreed sponsorship package, sponsorship may contribute towards participant places, programme delivery, learning resources, events, workshops, marketing materials, venue costs, facilitator time, administration and other costs connected with the operation and development of ONYX Academy.
Unless expressly agreed in writing, sponsorship is not restricted to a specific individual participant and ONYX Academy retains discretion over how sponsorship funds are applied in furtherance of its programmes and activities.
3. No Charity Status or Tax Representation
ONYX Academy is not a charity and does not represent that sponsorship payments are charitable donations.
Sponsors are responsible for obtaining their own tax, accounting and legal advice in relation to any sponsorship payment. ONYX Academy makes no representation that sponsorship payments will qualify for any tax relief, deduction or charitable treatment.
4. Enquiry Does Not Create a Binding Agreement
Submitting a sponsor enquiry form does not create a binding agreement between the sponsor and ONYX Academy.
Sponsorship will only be confirmed once ONYX Academy has accepted the sponsorship in writing and, where applicable, issued an invoice or separate sponsorship agreement.
ONYX Academy reserves the right to decline sponsorship at its discretion, including where it considers that a proposed sponsor, business activity or public association may not align with ONYX Academy’s values, safeguarding responsibilities, reputation or programme objectives.
5. Payment Terms
Sponsorship fees, payment dates and any agreed benefits will be confirmed in writing.
Unless otherwise agreed, sponsorship payments must be made in full before the relevant sponsorship benefits are delivered.
All fees are payable in pounds sterling. Any bank charges, transfer fees or related payment costs are the responsibility of the sponsor unless otherwise agreed.
6. Sponsor Recognition
Sponsor recognition may include, depending on the agreed package:
Website acknowledgement
Social media acknowledgement
Logo placement
Event or programme materials
Mention in promotional content
Other agreed recognition opportunities
The exact sponsorship benefits will depend on the package agreed in writing.
ONYX Academy does not guarantee any particular level of publicity, engagement, enquiries, commercial return, brand exposure or business benefit as a result of sponsorship.
7. Use of Sponsor Name and Logo
By providing a name, logo, brand asset or other promotional material, the sponsor confirms that ONYX Academy may use those materials for the purpose of recognising and promoting the sponsorship.
The sponsor confirms that it owns or has permission to use any logo, image, wording or brand material supplied to ONYX Academy.
ONYX Academy will use reasonable care when displaying sponsor materials but may resize, format or adapt materials as needed for website, social media, print or design purposes.
Sponsors may ask ONYX Academy to remove or update their logo or sponsor acknowledgement, and ONYX Academy will do so within a reasonable timeframe where practical.
8. No Endorsement
Sponsorship does not mean that ONYX Academy endorses the sponsor’s products, services, views, conduct or business activities.
Similarly, sponsors must not imply that ONYX Academy endorses them, their products or their services unless ONYX Academy has given express written consent.
Sponsors must not use ONYX Academy’s name, logo, branding, photographs or materials without prior written permission.
9. Participants and Safeguarding
Sponsorship does not give sponsors any right to select, influence, contact, assess or make decisions about programme participants unless expressly agreed in writing by ONYX Academy and subject to appropriate safeguarding, privacy and consent arrangements.
Sponsors must not contact participants directly through the sponsorship arrangement unless this has been approved by ONYX Academy in advance.
Where sponsors are invited to participate in talks, workshops, mentoring, events or other activities involving participants, ONYX Academy may require additional checks, safeguarding measures, conduct expectations or written agreements.
10. Programme Changes
ONYX Academy may change programme dates, content, delivery format, facilitators, venues, participant numbers or other arrangements where reasonably necessary.
Where a sponsorship is linked to a specific programme, event or activity that is cancelled or materially changed, ONYX Academy will discuss a reasonable alternative with the sponsor. This may include applying the sponsorship to a future programme, alternative activity or revised sponsorship opportunity.
11. Refunds
Sponsorship payments are generally non-refundable once confirmed, unless otherwise agreed in writing.
ONYX Academy may consider a refund or alternative arrangement where a sponsored programme, event or activity does not proceed and no reasonable alternative can be offered.
No refund will usually be due where sponsor recognition or programme delivery has already substantially commenced.
12. Sponsor Conduct and Reputation
Sponsors must not do anything that may damage the reputation, independence, integrity or values of ONYX Academy.
ONYX Academy may suspend or terminate a sponsorship arrangement if it reasonably believes that continued association with the sponsor could cause reputational harm, safeguarding concerns, legal issues, regulatory concerns or conflict with ONYX Academy’s purpose and values.
Where sponsorship is terminated for these reasons, ONYX Academy may remove sponsor recognition from its website, materials and communications.
13. Limitation of Liability
ONYX Academy will use reasonable care and skill in administering sponsorship arrangements.
However, ONYX Academy will not be liable for indirect losses, loss of profit, loss of business, reputational loss, loss of anticipated benefit, or any failure of sponsorship to generate enquiries, publicity, goodwill or commercial return.
Nothing in these terms limits or excludes liability where it would be unlawful to do so.
14. Data Protection and Privacy
ONYX Academy will use the personal information submitted through the sponsor enquiry form to respond to the enquiry, manage sponsorship discussions, administer sponsorship arrangements and communicate with sponsors.
Personal information may include names, contact details, business details, correspondence and payment-related information.
ONYX Academy will handle personal information in accordance with applicable data protection requirements in the Bailiwick of Guernsey. Sponsors should refer to ONYX Academy’s Privacy Notice for further information about how personal data is used, stored and protected.
15. Confidentiality
During sponsorship discussions, either party may receive information that is confidential or commercially sensitive.
Both parties agree to treat confidential information responsibly and not disclose it to third parties unless required by law, already public, independently known, or agreed in writing.
16. Intellectual Property
All ONYX Academy names, logos, branding, course content, programme materials, documents, templates, designs, images, text and other intellectual property remain the property of ONYX Academy or its licensors.
Sponsors do not acquire any rights in ONYX Academy intellectual property by entering into a sponsorship arrangement.
No ONYX Academy materials may be copied, adapted, shared, reproduced or used for commercial purposes without prior written consent.
17. Website and Third-Party Links
Sponsor names, logos or links may be displayed on the ONYX Academy website where agreed.
ONYX Academy is not responsible for the content, accuracy, security or availability of any third-party sponsor website or linked page.
ONYX Academy may remove links at any time if it considers this appropriate.
18. Governing Law
These terms and any sponsorship arrangement are governed by the laws of Guernsey.
Any disputes will be subject to the jurisdiction of the courts of Guernsey, unless otherwise agreed in writing.

19. Authority to Submit Sponsorship Enquiry
Where a sponsorship enquiry is submitted on behalf of a business, company, organisation or other entity, the person submitting the enquiry confirms that they are authorised to do so and to provide the information submitted. ONYX Academy may rely on the information provided when considering or progressing the sponsorship enquiry.
Important note: ONYX Academy is a commercial business and is not a registered charity. Sponsorship payments are not charitable donations. Sponsorship helps support the delivery, accessibility and development of ONYX Academy programmes, resources and related activities. Submission of this form does not create a binding sponsorship agreement; sponsorship is only confirmed once agreed in writing by ONYX Academy.
